Pinko Terms of Use
Welcome to Pinko. These Terms of Use govern your rights and obligations when using the Pinko website, mobile applications, and related services provided by Mount Humble Technology Ltd. (the "Company"). Pinko is an online platform providing language learning, one-on-one real-time audio and video interaction, Teacher services, Coin-based transactions, and related features. These Terms apply to the Pinko web service, iOS application, and other related services that may be provided by the Company.
1. Definitions and Scope of Services
- "Pinko," "Platform," or "Service" means the Pinko website, mobile applications, related backend systems, and other services provided by the Company.
- "Member" or "User" means a natural person who registers for, signs in to, or uses Pinko.
- "General User" means a Member who uses Pinko to browse or follow Teachers, purchase or obtain Coins, use audio or video services, or access other general Member features.
- "Teacher" means a Member whose Teacher status has been enabled by Pinko and who may provide language learning, audio, or video interaction services through the Platform.
- "Coins" means digital units used within Pinko for service usage, pricing, or earnings calculations, including Coins purchased or obtained by Users and earnings Coins obtained by Teachers under applicable Platform rules.
Pinko services may include:
- Account registration and sign-in
- Profile and Teacher profile management
- Teacher search, browsing, and following
- Teacher online and service-status management
- One-on-one real-time audio and video calls
- Coin purchasing, acquisition, and deduction
- Call, transaction, Teacher service, and earnings records
- Notifications and push notifications
- Customer support, complaints, reports, and blocking
- Other Pinko-related features
The Company may add, modify, suspend, or discontinue certain services based on operational, technical, security, or legal requirements. Where material Member rights are affected, notice will be provided in accordance with applicable law.
2. Eligibility and Account Registration
- Pinko is available only to natural persons who are at least eighteen (18) years old.
- Persons under eighteen (18) may not register for or use Pinko. If Pinko reasonably suspects that a Member does not satisfy this requirement, it may request reasonable age or identity verification and restrict or suspend the account until verification is completed.
- Members must provide true, complete, accurate, and up-to-date information and update such information when it changes.
- Members may not impersonate another person, use another person's information, provide false or misleading information, or otherwise improperly obtain or use a Pinko account.
- Accounts are for personal use only and may not be sold, transferred, rented, lent, given, or shared with third parties.
- Members are responsible for safeguarding their login information and should promptly notify Pinko of suspected unauthorized access or other security risks.
- Members are responsible for activities conducted through their accounts. Unauthorized third-party use will be handled according to the circumstances and applicable law.
- To prevent fraud, abuse, duplicate registrations, circumvention of suspension, or other abnormal behavior, Pinko may reasonably restrict accounts that appear to be related.
- Pinko may use email, website or App messages, push notifications, or other appropriate methods to provide necessary information concerning transactions, services, account security, Member rights, or Platform operations.
3. General User Services
- General Users may browse and follow Teachers and initiate audio or video services when the Teacher is available and applicable conditions are met.
- A Teacher's available service types, online status, and rates are determined by the information displayed in Pinko at that time.
- Before initiating a paid service, Users should confirm the Teacher, service type, applicable rate, available Coin balance, and other displayed transaction information.
- Once a service begins, Pinko automatically calculates the Coins to be deducted based on the applicable billing method, valid service duration, and rate.
- If the User has insufficient available Coins to continue the service, Pinko may automatically end it.
- If either party ends the call, connectivity is lost, the system determines the service has ended, or another condition prevents continuation, Pinko may end the call and complete settlement.
- Billing is primarily determined by Pinko system records, including service start and end times, billing intervals, applicable rates, and actual Coin deductions.
4. Teacher Eligibility and Services
- Pinko may allow eligible Members to apply for or obtain Teacher status according to Platform policies.
- Teachers must provide truthful and necessary information requested by Pinko, including personal information, introductions, profile photographs, language ability information, and other Teacher-service-related information.
- Where necessary for earnings settlement, identity verification, taxation, or legal compliance, Pinko may request reasonable identity, account, payment, or other relevant information.
- Pinko may enable, restrict, suspend, or terminate Teacher status based on information completeness, service quality, safety, account status, violation history, or other reasonable factors.
- Teachers may independently decide whether and when to go online and may configure, within Platform options:
- Whether to accept audio services
- Whether to accept video services
- Applicable service rates
- Other Teacher service settings provided by Pinko
- Teachers are not required to provide services at fixed times, locations, or for fixed numbers of hours.
- Once online, Teachers should reasonably maintain availability and should update their status or go offline when temporarily unavailable.
- Teachers must interact with Users in a reasonable, respectful, and appropriate manner and comply with these Terms and Pinko safety rules.
- Teachers may not use false information, impersonate others, use unauthorized photographs, or otherwise materially mislead Users regarding their identity.
5. Teacher Earnings
- After completing a valid audio or video service, a Teacher may receive corresponding earnings Coins according to the Platform rules applicable at the time.
- Teacher earnings may be calculated based on service type, valid service duration, Coins actually paid by the User, the applicable Teacher earnings percentage, and applicable campaigns or rewards.
- Earnings for each service are determined according to the rate, earnings percentage, valid service duration, and final settlement records stored by Pinko for that service.
- Transactions or earnings may be excluded, corrected, deducted, offset, or cancelled in cases including cancelled or refunded transactions, duplicate transactions, failed payments, chargebacks, fraud, abnormal transactions, system errors, self-transactions, artificially generated calls, or violations of these Terms.
- Teachers may not use accounts under their control, related accounts, automated methods, or other improper means to generate false services, artificial call duration, or improperly obtain earnings.
- Pinko may adjust future Teacher earnings percentages, rate ranges, campaign rules, or other earnings mechanisms. Valid services already completed under the applicable rules will not be arbitrarily changed retroactively, except where correction is required due to error, fraud, refund, chargeback, or violation.
- Earnings settlement, applications, payouts, minimum thresholds, payment cycles, required documents, and other conditions are governed by the Teacher earnings rules then provided by Pinko.
- Teachers are responsible for applicable tax and legal obligations. Where the Company is legally required to withhold, report, or provide related information, it will do so in accordance with applicable law.
6. Relationship Between Pinko and Teachers
- Teachers and the Company are independent parties. Unless otherwise agreed in writing, these Terms and a Teacher's use of Pinko do not create an employment, labor, agency, partnership, joint venture, or similar relationship.
- Teachers may independently decide whether and when to provide services and may choose service types and rates within Platform options.
- Except for compliance with Platform rules, service mechanisms, safety standards, and applicable law, the Company does not require Teachers to provide services at fixed times, locations, or for fixed numbers of hours.
- Teachers are responsible for their own mobile devices, internet connection, audio/video equipment, and other necessary equipment.
- Teachers have no authority to make commitments, enter agreements, collect payments, or otherwise impose obligations on behalf of the Company.
- Teachers may not represent themselves as employees, agents, representatives, or as holding any other status not expressly authorized by the Company.
7. Coins and Payments
- Certain Pinko services use Coins.
- General Users must purchase or otherwise obtain sufficient Coins before using services requiring Coin payment.
- The actual price, Coin amount, bonus Coins, promotional benefits, and payment method are determined by the order information displayed before payment.
- Payments are processed by Mount Humble Technology Ltd. or legally engaged payment service providers.
- Pinko will provide applicable transaction records or electronic invoices in accordance with law.
- Coins are digital service-use and pricing units within Pinko. They are not legal tender, bank deposits, electronic payment accounts, or investment products.
- Unless otherwise required by law or expressly provided by Pinko, consumer Coins may not be redeemed for cash, resold, privately traded, or transferred to another Member.
- Pinko may establish expiration periods, usage conditions, applicable scopes, or other restrictions for free, promotional, campaign, or reward Coins. Such conditions will be appropriately disclosed.
- If system errors, abnormal transactions, or technical problems cause inaccurate Coin balances, deductions, or records, Pinko may correct them according to the actual transaction and service circumstances.
8. Coin Refunds and Transaction Disputes
- After payment is successfully completed, Pinko will credit the corresponding Coins to the User's account according to the transaction.
- Except where otherwise required by applicable law, or due to circumstances attributable to Pinko such as system errors, duplicate payments, or incorrect charges, Coins that have been purchased and credited are not eligible for cancellation or refund.
- Coins that have actually been used or consumed are not refundable. Consumed Coins may not be returned based on subjective dissatisfaction, early termination, or other circumstances not attributable to Pinko.
- Where unused Coins are subject to cancellation, refund, or other consumer rights under applicable law, Pinko will handle such matters in accordance with the Consumer Protection Act of the Republic of China (Taiwan) and other applicable laws.
- Users may request investigation for duplicate payments or deductions, successful payments without proper Coin crediting, unexpected deductions caused by system error, paid services that failed due to a system issue attributable to Pinko, or other verified transaction abnormalities.
- If Pinko verifies a transaction or system error, it may return incorrectly deducted Coins, issue replacement Coins, correct transaction records, issue a refund, or take other appropriate measures.
- If a payment is subsequently cancelled, reversed, charged back, disputed, or determined not to have been completed, Pinko may cancel corresponding Coins, promotional benefits, or related rights. If those Coins have already been used, Pinko may make account adjustments or seek lawful recovery.
- Refunds or transaction adjustments do not affect Pinko's right to restrict or suspend accounts in response to fraud, stolen-payment activity, abnormal transactions, violations of these Terms, or other improper conduct.
9. Call, System, and Service Records
To provide audio, video, transaction, and billing services, Pinko may process necessary information including:
- Call identification, start and end times, and call status
- Service type and billing information
- Coin deductions and Teacher earnings information
- System and technical records
Unless Pinko separately provides clear notice and obtains any consent required by law, Pinko does not continuously record or store the actual audio or video content of ordinary audio or video services.
Pinko may retain necessary transaction, call-status, and system records for transaction accuracy, Platform security, customer support, and dispute resolution.
The collection, processing, use, and retention of personal information are further governed by the Pinko Privacy Policy.
10. User Conduct
Members may not engage in any of the following when using Pinko:
- Violating the laws of the Republic of China (Taiwan) or other applicable law.
- Fraud, stolen-payment activity, money laundering, impersonation, or other unlawful transactions.
- Harassment, threats, intimidation, bullying, stalking, abusive behavior, or conduct endangering another person.
- Hateful, discriminatory, defamatory, or other conduct infringing the rights of others.
- Nudity, pornography, obscenity, facilitation of sexual transactions, or other adult content or conduct prohibited by Pinko.
- Using Pinko for unlawful sexual transactions or other unlawful activities.
- Distributing content involving violence, crime, illegal drugs, fraud, gambling, or other unlawful activity.
- Infringing another person's privacy, personal data, portrait rights, copyrights, trademarks, reputation, trade secrets, or other lawful rights.
- Recording, filming, capturing, distributing, or publicly disclosing another person's private interactions without consent, except where permitted by law.
- Sending spam, unauthorized advertising, malicious links, phishing content, or malicious software.
- Collecting, storing, using, or distributing another Member's personal information without lawful authorization.
- Cracking, attacking, scanning, interfering with, or testing Pinko systems, APIs, databases, servers, or security mechanisms.
- Unauthorized reverse engineering, automated access, large-scale data scraping, or other conduct interfering with normal operation.
- Circumventing billing, suspension, identity verification, security, transaction limits, or other Platform protections.
- Assisting, encouraging, instructing, or enabling another person to engage in any prohibited conduct above.
11. Off-Platform Contact and Transactions
- Pinko provides online language learning and one-on-one real-time interaction services.
- Members may not use Pinko to actively encourage others to circumvent the Platform's normal transaction mechanisms.
- Pinko does not encourage off-platform payments, Coin transactions, private lessons, account or earnings transactions, or other arrangements intended to circumvent Pinko's transaction mechanisms.
- If Members or Teachers independently exchange contact information, meet, transact, or establish private relationships outside Pinko, such conduct is outside the scope of Pinko's services.
- Payment, property, personal safety, or other disputes arising from off-platform conduct are the responsibility of the relevant parties. Any responsibility the Company must bear under applicable law is not excluded.
- If off-platform activity involves fraud, harassment, circumvention of Platform mechanisms, or other violations, Pinko may restrict or terminate relevant accounts.
12. Reports, Blocking, and Platform Safety
- Pinko may provide Members with features for reporting and blocking other Members.
- If Pinko receives a violation report or reasonably identifies abnormal account activity, content, transactions, or conduct, it may conduct an appropriate investigation.
- During an investigation, Pinko may restrict account features or sign-in, suspend Teacher access, transactions, or earnings processing, preserve relevant records, or take other measures necessary to protect Members and Platform safety.
- For serious safety risks, fraud, criminal conduct, severe harassment, sexual exploitation, or other serious violations, Pinko may immediately restrict the relevant account or services.
- Pinko may cooperate in accordance with law with courts, police, prosecutors, regulators, and other legally authorized authorities.
- Reporting and blocking features may not be used for malicious harassment, false complaints, or other abuse.
13. Account Suspension and Termination
- If a Member violates these Terms, Pinko policies, or applicable law, Pinko may issue a warning, restrict features, temporarily suspend the account, revoke Teacher status, permanently suspend or terminate the account, or take other reasonable measures.
- Serious violations may include fraud, stolen-payment activity, money laundering, impersonation, sexual transactions, severe harassment or threats, unlawful content, attacks on Platform systems, fraudulent Teacher services, artificially generated earnings, multiple accounts used to circumvent restrictions, serious improper off-platform transactions, or other conduct materially harming Pinko, Members, or third parties.
- Pinko may determine the method and timing of notice based on the nature of the violation, safety risks, and legal requirements.
- Where necessary for safety, risk control, third-party rights, or investigations, Pinko may decline to disclose complete detection methods, risk-control standards, or investigation details.
- Suspension or termination does not extinguish payment, transaction, refund, earnings, contractual, infringement, or other legal responsibilities arising beforehand.
14. Permanent Account Deletion
- Members may request permanent account deletion through account-management features provided by Pinko.
- Before deletion, Members should confirm any unfinished services, Coin balances, Teacher earnings, transaction disputes, and other outstanding rights or obligations.
- Pinko may conduct necessary identity verification before deleting an account to prevent unauthorized deletion.
- After permanent deletion, the Member will no longer be able to access the original account, personal settings, follow information, or other account functions.
- Deletion does not extinguish transaction obligations, payment responsibilities, refund or Teacher earnings disputes, contractual liability, infringement liability, or other legal responsibilities arising beforehand.
- Pinko may retain information where required by law or reasonably necessary, including transaction and invoice records, tax and accounting information, fraud and abuse prevention information, dispute or legal proceeding records, and other legally required records.
- Personal information following deletion will be handled in accordance with the Pinko Privacy Policy and applicable law.
- Account deletion does not affect any refund, complaint, or other rights that may not be waived in advance under applicable law.
15. Intellectual Property
- Intellectual property rights relating to the Pinko name, trademarks, logo, website, App, software, interfaces, layouts, images, text, audiovisual materials, databases, system architecture, and related content are owned by the Company or lawful rights holders.
- Without prior authorization, no person may reproduce, modify, adapt, distribute, publicly transmit, sell, rent, license, reverse engineer, or otherwise infringe such rights.
- Rights in photographs, text, Teacher introductions, and other Member-provided content remain with their original rights holders.
- Members authorize the Company, to the extent reasonably necessary to provide, maintain, and operate Pinko, to store, process, transmit, format, display, and use such content.
- Members are responsible for ensuring they have lawful rights to content they provide and for liability resulting from infringement of third-party rights.
- Pinko may restrict, remove, or disable content reasonably believed to infringe third-party rights or violate these Terms.
16. Third-Party Services
- Pinko may use third-party cloud, identity authentication, real-time communications, push notification, payment, electronic invoice, analytics, or other technical services.
- Third-party services may be temporarily unavailable due to maintenance, failures, network conditions, policy changes, or circumstances outside Pinko's reasonable control.
- Pinko will use reasonable efforts to maintain normal operation but cannot guarantee that networks, telecommunications, or third-party services will remain uninterrupted or error-free.
- Personal information processed through third-party services is governed by the Pinko Privacy Policy and applicable law.
17. System Maintenance and Service Interruptions
Pinko may temporarily suspend, restrict, or interrupt all or part of the Service due to:
- System maintenance, updates, or upgrades
- Hardware, software, telecommunications, network, cloud, or third-party service failures
- Information security incidents
- Natural disasters, war, government orders, or other force majeure events
- Measures necessary to prevent fraud, security incidents, or unlawful activity
- Other circumstances reasonably necessary to maintain service, safety, or normal operation
Pinko will use reasonable efforts to minimize the effects of service interruptions.
Where an issue affects Coins actually paid by a User or a transaction, Pinko may investigate and make necessary adjustments based on system records and actual service circumstances.
18. Limitation of Liability
- Pinko will use reasonable efforts to maintain the security and normal operation of the Service but cannot guarantee that networks, software, third-party services, or electronic communications will always be uninterrupted, completely secure, or error-free.
- Service issues caused by a Member's network, device, operating system, communication quality, or improper safeguarding of account information are the Member's responsibility.
- Pinko does not guarantee any particular language ability, learning outcome, examination result, professional result, or other personal objective.
- Personal opinions, information, or content expressed by Members and Teachers during audio or video services do not represent Pinko or the Company.
- Nothing in these Terms excludes or limits liability that may not lawfully be excluded or limited, including liability arising from the Company's intentional misconduct or gross negligence where applicable.
- No limitation of liability in these Terms shall exclude or reduce mandatory consumer rights under applicable law.
19. Changes to Services and Terms
- Pinko may modify these Terms due to new services, changes in law, information security requirements, technical adjustments, business operations, or other reasonable reasons.
- If a modification materially affects Member rights, Pinko will provide notice within a reasonable period through the website, App, email, push notification, or other appropriate means.
- Continuing to use Pinko after amended Terms take effect constitutes acceptance of the amended Terms. Where applicable law requires separate express consent, Pinko will follow the legally required procedure.
20. Discontinuation of Service
- The Company may discontinue all or part of Pinko for operational, technical, legal, or other significant reasons.
- If Pinko permanently discontinues its principal services, it will, where reasonably practicable, provide prior notice and handle unfinished transactions, available Coins, Teacher earnings, and other Member rights in accordance with applicable law.
- These Terms do not allow Pinko to exclude rights granted to Users by applicable law merely because the Service is discontinued.
21. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Republic of China (Taiwan).
- If a dispute arises, Members may first contact Pinko customer support, and the Company will assist in reviewing and addressing the matter.
- If the dispute cannot be resolved through discussion, unless mandatory jurisdiction rules provide otherwise, the Taiwan Taipei District Court shall be the court of first instance.
- This provision does not exclude jurisdiction or remedies available to consumers under the Consumer Protection Act, Code of Civil Procedure, or other mandatory laws.
22. General Provisions
- The Pinko Privacy Policy and other applicable rules lawfully published by the Platform may form part of the rules governing use of the Service.
- If any provision is determined to be invalid, unlawful, or unenforceable, the remaining provisions remain in effect.
- Section headings are provided solely for convenience and do not affect interpretation.
- Pinko's failure to immediately exercise any right under these Terms does not constitute a waiver of that right.
- Without the Company's consent, Members may not transfer their Pinko account, membership status, or rights and obligations arising under these Terms to another person.
